Your use of the If Required service (the “Service”) is governed by this legal agreement (the “Terms”). The Service is provided by Memhold, located in Albany, New York.

 

By using the Service, you agree to these Terms. Please read them carefully.

 

The Service is available to individuals who are 18 years of age or older. If you are between 18 and the age of legal majority in your country of residence, you must review these Terms with a parent or guardian to ensure understanding. You may only use the Service if you can form a binding contract and are not barred by applicable laws from doing so.

 

 

Using Our Service

 

You must follow all policies and rules made available to you within the Service. You agree to use the Service only for lawful purposes and as permitted by these Terms.

 

To use the Service, you must establish an Account. You are responsible for maintaining the confidentiality of your password and Account, and for all activities associated with your Account. If you become aware of unauthorized use, you must notify Memhold immediately. We may delete inactive accounts and associated Content after 12 months of continuous inactivity, with reasonable notice via your registered email.

 

Using our Service does not grant you ownership of any intellectual property rights in the Service or the Content you access. The Service, Software, and associated assets are protected by copyright, trademark, and other laws. You may not reproduce, distribute, or modify any portion of the Service unless expressly permitted.

 

You agree not to:

 

• Reverse-engineer, decompile, or attempt to extract source code from the Software

• Disable or circumvent security features

• Probe, scan, or test systems for vulnerabilities

• Breach authentication measures

• Access or tamper with non-public areas of the Service

• Introduce viruses, malware, or spam

• Interfere with or disrupt other users or networks

• Access the Service using any unauthorized methods (e.g., scraping)

 

If your behavior threatens the integrity or operation of the Service, we may suspend or terminate your access.

Your Content in Our Service

Memhold does not provide legal advice, verification of content authenticity, or identity validation for recipients.

 

You are solely responsible for ensuring:

 

• You have the rights to upload and share the Content

• Content does not violate any laws or third-party rights

• You properly configure recipient access and voting settings

 

We may remove or refuse to display Content that we believe violates the law or these Terms.

 

You are also responsible for backing up your Content. While Memhold uses reasonable security practices, we are not liable for lost, corrupted, or deleted data.

MEMHOLD DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

 

 

Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMHOLD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

 

THIS INCLUDES LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF MEMHOLD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

 

Indemnification

 

You agree to indemnify and hold harmless Memhold, its affiliates, employees, and partners from any claims, losses, damages, or legal disputes resulting from:

 

• Your breach of these Terms

• Your use of the Service

• Your violation of laws or regulations

 

We will provide notice of any claim or suit where you are expected to indemnify us.

 

 

Governing Law

 

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes will be handled exclusively in the courts located in Albany County, NY.

 

 

Changes to These Terms

 

We may revise these Terms periodically. Changes will be posted on our website and, for significant updates, we may provide direct notice (e.g., email or in-app message). Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

 

 

Survival & Entire Agreement

 

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. These Terms constitute the entire agreement between you and Memhold regarding the Service and supersede any prior agreements.

 

Sections such as Exclusion of Warranties, Limitation of Liability, Indemnity, and About These Terms will survive termination.
